DataGridView Extension Source Code License Agreement

This Source Code License Agreement ("SCLA") is a legal agreement between you ("Licensee") and CompletIT for the source code of the software product DataGridView Extension ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this SCLA. The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold, and ALL SOFTWARE IS PROVIDED "AS IS."

Definitions
Licensee Derivative Works: means all derivative works of the Software made by Licensee.

Software: The term "Software" shall mean DataGridView Extension product.

Source Code: means the specified source code of the Software whether in print, magnetically stored, or in some other form, and related materials that CompletIT may provide to Licensee, and any such source code to the extent included in any Licensee Derivative Work.

Confidential Information: means (i) the Source Code and the source code to Licensee Derivative Works; (ii) either party's business or financial information and plans, including without limitation customer information; and (iii) any other information, whether in print, magnetically stored, or in some other form, that CompletIT designates as confidential or which, under the circumstances surrounding the disclosure, should be treated as confidential to CompletIT. Confidential Information also includes any information that, as a matter of applicable law (such as consumer or end-user personal data) must be kept confidential. "Confidential Information" will not include information that the receiving party can demonstrate by clear and convincing evidence: (a) it received rightfully from another party without an obligation of confidentiality prior to its receipt from the disclosing party, (b) the disclosing party has generally disclosed to the public without any obligation to maintain such information in confidence; or (c) the receiving party can establish and document as being developed independently without access to any Confidential Information received from the disclosing party.

License
Use of Source Code. CompletIT hereby grants to Licensee a non-exclusive and non-transferable license to use the Source Code to create Licensee Derivative Works for the sole internal use by Licensee in compliance with the terms and conditions of this License Agreement. Source Code will be used by Licensee only for internal support and maintenance of the Software.

Use of Derivative Works. Licensee is not allowed to sell, lease, distribute, or in any way provide access to the Source Code or any Derivative Works to any party other than the Licensee or subsidiary company of Licensee.

No Sale. The licenses granted under this Agreement do not constitute a sale of the Software or any portion or copy of it. Under no circumstances may any portion of the Software’s source code or any modified version of the source code be distributed, disclosed or otherwise made available to any third party.

Licensee acknowledges that the Software’s source code contains valuable and proprietary trade secrets of CompletIT. All individuals employed by or belonging to your entity agree to expend every effort to insure its confidentiality. You agree to assume full responsibility for such employees’ or contractors’ use, or misuse, of such disclosed source code as if it was your use. These obligations shall not apply to any information generally available to the public, independently developed or obtained without reliance on CompletIT information, or approved in writing for release by CompletIT without restriction.

This license allows the Licensee to make changes in the source code and to use it in proprietary applications.

CompletIT does not provide technical support for modified source code.

Limitation of Liability
Under no circumstances, including negligence, shall CompletIT or its suppliers be liable for any incidental, special, indirect or consequential damages (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of or relating to this license, even if CompletIT has been advised of the possibility of such damages. Some jurisdictions do not allow the limitation of incidental or consequential damages so this limitation may not apply to you. In no event will any copyright holder be liable to you for damages, including any general, special, incidental or consequential damages arising out of the use or inability to use the program (including but not limited to loss of data or data being rendered inaccurate or losses sustained by you or third parties or a failure of the program to operate with any other programs). The entire risk arising out of use or performance of the software remains with you.

The source code is licensed to you without any warranties whatsoever, whether express, implied, or statutory, including without limitation any warranties of merchantability or fitness for a particular purpose except for the warranty of licensor that it has the right to grant this license and that licensee has a right to use the source code free of infringement of any patent, copyright, trade secrets, or other rights of a third party.
